Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "Customer," or "User") and Shomac Industries ("Company," "we," "us," or "our"), a company operating from Shop 11, Prime Business Plaza, SV Road, Kandivali West, Mumbai, Maharashtra 400067, India.

By accessing our website at shomacindustries.shop, placing an order for our products, using our services, or communicating with us, you expressly agree to these Terms. If you are entering into this agreement on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree with any part of these Terms, please refrain from using our website or services. We reserve the right to update or modify these Terms at any time, and it is your responsibility to periodically review the most current version of these Terms.

Orders, Pricing & Payments

All orders are subject to acceptance by Shomac Industries. Receipt of an order confirmation does not constitute our acceptance; it is merely an acknowledgment. We reserve the right to accept or decline any order at our discretion.

Pricing:

• All prices are quoted in Indian Rupees (INR) unless otherwise specified
• Prices are exclusive of applicable taxes (GST and other levies) unless stated otherwise
• We reserve the right to change prices at any time without prior notice
• Prices quoted in proposals or estimates are valid for the period specified, typically 30 days

Payment Terms:

• Payment terms will be agreed upon prior to commencement of services or dispatch of goods
• Standard terms: 50% advance payment, balance before delivery, unless otherwise agreed in writing
• Accepted payment modes: Bank transfer (NEFT/RTGS/IMPS), cheque, demand draft, and approved digital payment methods
• All payments must be made in Indian Rupees unless a separate written agreement specifies otherwise
• Late payments may attract interest at 18% per annum, or as mutually agreed

Delivery & Shipping

Shomac Industries strives to ensure timely delivery of all orders. Delivery timelines are estimated and may vary depending on product availability, order complexity, shipping location, and other factors beyond our control.

• Delivery timelines will be communicated at the time of order confirmation
• Risk of loss or damage passes to the customer upon delivery to the shipping carrier or customer premises, as applicable
• Shomac Industries is not liable for delays caused by courier or logistics partners, natural events, or circumstances beyond our reasonable control
• Delivery charges, if applicable, will be clearly communicated before order finalization
• For pan-India deliveries, additional transit time may apply based on destination

Upon delivery, please inspect the goods carefully. Any visible damage or discrepancies must be reported to us in writing within 48 hours of receipt. Failure to do so may affect your ability to make a claim.

Returns, Replacements & Refunds

We stand behind the quality of our products and services. Our return and refund policy is as follows:

• Returns are accepted only for products that are defective, damaged in transit, or incorrectly supplied
• Return requests must be initiated within 7 days of delivery by contacting us at info@shomacindustries.shop
• Products must be returned in original condition and packaging with all documentation
• Custom-engineered or made-to-order products are non-returnable unless defective
• Refunds, where applicable, will be processed within 14 business days of approval
• Refunds are issued via the original payment method

Shomac Industries reserves the right to inspect returned goods before approving or denying a return or refund claim. All return decisions made by Shomac Industries are final.

Intellectual Property Rights

All content on the Shomac Industries website and in our marketing materials — including but not limited to logos, brand names, product designs, photographs, text, graphics, videos, and other materials — is the exclusive property of Shomac Industries or its licensors and is protected by applicable intellectual property laws including the Indian Copyright Act, 1957 and the Trade Marks Act, 1999.

You are not permitted to:

• Reproduce, distribute, or publicly display any of our content without prior written permission
• Use our trademarks, trade names, or logos for any commercial purpose
• Modify, create derivative works from, or reverse engineer any of our products or website
• Use any automated tools to scrape, mine, or extract data from our website

Any customer-specific designs, drawings, or technical documents shared with Shomac Industries for the purpose of manufacturing or custom engineering remain the intellectual property of the respective customer, subject to the terms agreed in individual service agreements.

User Conduct & Prohibited Activities

When using our website or services, you agree not to engage in any of the following prohibited activities:

• Providing false, misleading, or fraudulent information in any communication or order
• Attempting to gain unauthorized access to our systems, databases, or networks
• Uploading or transmitting malicious code, viruses, or any form of harmful software
• Engaging in activities that could damage, disable, or overburden our infrastructure
• Using our services for any illegal purpose or in violation of any applicable law or regulation
• Harassing, threatening, or defaming our employees, partners, or other customers
• Attempting to circumvent any security measures or payment processes

Violation of these conduct standards may result in immediate termination of your account and engagement with Shomac Industries, and may also result in legal action where warranted.

Communication Consent

Indemnification

Termination

Upon termination, your right to use our services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability.

You may also terminate your engagement with Shomac Industries at any time by notifying us in writing. All pending payment obligations must be settled prior to termination.

Governing Law

These Terms and Conditions, and any disputes arising from them, shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. The specific laws applicable include but are not limited to:

• The Sale of Goods Act, 1930
• The Information Technology Act, 2000
• The Consumer Protection Act, 2019
• The Goods and Services Tax (GST) Acts, 2017

You agree that any legal action or proceedings related to these Terms shall be instituted exclusively in the courts of Mumbai, Maharashtra, India. You consent to the jurisdiction of such courts and waive any objection to the laying of venue in such courts.

Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof, the parties agree to first attempt resolution through good faith negotiation. Either party may initiate this process by providing written notice to the other party specifying the nature of the dispute.

If the dispute cannot be resolved through negotiation within 30 days, the parties agree to attempt resolution through mediation before initiating any legal proceedings. The mediation shall be conducted in Mumbai by a mutually agreed-upon mediator.

If mediation also fails to resolve the dispute, either party may pursue legal remedies through the courts of Mumbai, Maharashtra, India, as described under the Governing Law section.

Amendments to Terms

Shomac Industries reserves the right to amend, modify, or update these Terms at any time at its sole discretion. Changes will be effective immediately upon posting to our website, with the updated "Last Updated" date reflected at the top of this page.
